You (The customer) agrees that you shall defend, indemnify, save and hold Yattle.com harmless from any and all demands, liabilities, losses, costs and claims, including reasonable attorney's fees asserted against Yattle.com, its agents, its customers, officers and employees, that may arise or result from any service provided or performed or agreed to be performed or any product sold by customer, its agents, employees or assigns. Customer agrees to defend, indemnify and hold harmless Yattle.com against liabilities arising out of; (1) any injury to person or property caused by any products sold or otherwise distributed in connection with Yattle.com; (2) any material supplied by customer infringing or allegedly infringing on the proprietary rights of a third party; (3) copyright infringement and (4) any defective products sold to customer from Yattle.com. By using the services of Yattle.com you agree to be bound by all of these terms and conditions of service.

9. Disclaimer
Yattle.com will not be responsible for any damages your business may suffer. Yattle.com makes no warranties of any kind, expressed or implied for services we provide. Yattle.com does not back up your data/website and whilst every attempt would be made in the unlikely event of any corruption or hardware failure, Yattle.com cannot guarantee to be able to replace lost data. Yattle.com disclaims any warranty or merchantability or fitness for a particular purpose. This includes loss of data resulting from delays, non deliveries, wrong delivery, and any and all service interruptions caused by Yattle.com and its employees. Yattle.com reserves the right to revise its policies at any time.

10. General
These Conditions together with any terms set out in the Agreement (if any) between Yattle.com and the Customer constitute the entire agreement between the parties, supersede any previous agreement or understanding and, may not be varied except in writing or by exchange of e-mails or by exchange of e-mails between the parties. All other terms and conditions, express or implied by statute or otherwise, are excluded to the fullest extent permitted by Northern Ireland law.

10.1. These Conditions shall remain in force for the term of the agreement between Yattle.com and the Customer. Upon renewal of the agreement Yattle.com reserves the right to update, alter or amend these Terms and Conditions of Service as it sees fit to comply with any statutory, legislative and/or technical changes or to enhance and improve the services it offers to its Customers and the efficiency of said services and for expediency. Upon such changes being made the renewal notice sent to the Customer shall draw the Customer's attention to the change(s) and the Customer shall then be entitled to decide whether to continue the Service on the new terms or exercise its right to terminate the Specified Service with Yattle.com and continue on the existing terms until termination is effective.

10.2. Any notice required or permitted to be given by either party to the other under these Conditions shall be (a) in writing addressed to the other party at its registered office or principal place of business or such other address as may at the relevant time have been notified pursuant to this section to the party giving the notice; or (b) by e-mail to the last known e-mail address of the other party unless notified of a change of e-mail address by that party pursuant to this section.

10.3. No failure or delay by either party in exercising any of its rights under this Contract shall be deemed to be a waiver of that right, and no waiver by either party of any breach of the Contract by the other shall be considered as a waiver of any subsequent breach of the same or any other provision.

10.4. If any provision of these Conditions is held by any competent authority to be invalid or unenforceable in whole or in part, the validity of the other provisions of these Conditions and the remainder of the provision in question shall not be affected.

10.5. Any dispute arising under or in connection with these Conditions or the provision of the Specified Service shall be referred to arbitration by a single arbitrator appointed by agreement or (in default) nominated on the application of either party.

10.6. Northern Ireland law shall apply to the Contract, and the parties agree to submit to the exclusive jurisdiction of the Northern Ireland courts.

11. Other
Yattle.com and you are independent entities, and nothing in the Terms, or via use of the Site or Services, will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between Yattle.com and you. These Terms supersede any previous agreement and represent the entire agreement between Yattle.com and you. If any provision of the Terms is adjudged to be illegal or unenforceable, the continuation in full force of the remainder of the Terms will not be prejudiced, and the illegal or unenforceable provision of the Terms shall be severed accordingly.
